Terms of Service

These Platform Subscription Terms of Service (“Terms”) govern your purchase and use of Heavy Impact LLC’s subscription-based platform access and included funnel build services. By purchasing, accessing, or using the services, you (“Client,” “you”) agree to these Terms.

2. Service Overview

Your subscription provides access to a proprietary marketing and sales system (“Platform”) and an included one-time “Funnel Build Sprint.”

Platform

A Heavy Impact-managed subaccount environment built on the GoHighLevel platform, including our proprietary configurations, templates, workflows, and automations.

Funnel Build Sprint

A one-time service to build out your initial marketing funnel as detailed in Exhibit A.

Important Note: The Platform relies on third-party providers, including GoHighLevel. We are not responsible for service interruptions, policy changes, or outages from these third parties.

3. Subscription Fees and Payments

3.1. Subscription Fee: The recurring fee for Platform access is $97 per month, billed in advance.

3.2. Auto-Renewal: Your subscription automatically renews each month. By completing your purchase, you acknowledge and agree that you will be charged $97/month on a recurring basis unless you cancel.

3.3. Payment Authorization: You authorize Heavy Impact to charge your payment method on file for the Subscription Fee and any applicable Usage Fees. We may reattempt failed charges.

3.4. No Refunds: Subscription Fees are non-refundable once charged and will not be prorated, except where required by law.

4. Usage Fees (Pay-Per-Use)

4.1. User Responsibility: The $97/month Subscription Fee does not include Usage Fees. You are responsible for all Usage Fees incurred by your account, which are billed separately.

4.2. What Are Usage Fees?: These are charges based on actual consumption of third-party services, including but not limited to:

•Phone Numbers (Leasing)

•SMS/MMS Messaging

•Voice Calling

•Email Sending

•AI Features (e.g., Conversation Credits)

•Carrier Pass-Through Fees (A2P/10DLC)

4.3. Wallet & Auto-Recharge: Usage Fees are deducted from a wallet/credit balance. You authorize us to charge your payment method to replenish your wallet and keep services active. If your payment fails or your wallet balance is insufficient, usage-based features (like texting and AI) will be suspended immediately.

4.4. Usage Fee Schedule: You are responsible for monitoring and managing your account's usage. A detailed and up-to-date schedule of Usage Fee rates is maintained at [Link to Your Pricing Page] and is incorporated into these Terms by reference. We encourage you to review it to understand how your usage translates to cost.

4.5. Non-Refundable: All Usage Fees are non-refundable once incurred.

5. Cancellation and Termination

5.1. Self-Cancellation: You must cancel your subscription through the Platform’s billing portal. Cancellation requests sent via email will not be processed.

5.2. Effect of Cancellation: Cancellation stops future renewals and becomes effective at the end of your current billing period. You are responsible for canceling before your renewal date to avoid the next charge.

5.3. Data Access & Export After Cancellation: Upon the effective date of cancellation, your access to the Platform will be revoked. However, for a period of 30 days following the cancellation date, you may request a one-time export of your contacts and leads data. This service is provided for a flat administrative fee of [$149]. After this 30-day period, your data may be permanently deleted.

5.4. Termination by Heavy Impact: We may suspend or terminate your access immediately for non-payment (including failed subscription charges or unpaid Usage Fees) or for any material breach of these Terms, such as initiating a chargeback without prior contact.

6. Intellectual Property and License

6.1. Our IP: Heavy Impact retains all ownership rights to our proprietary templates, snapshots, workflows, automations, and system architecture. You are not purchasing ownership of these assets.

6.2. Limited License: While your subscription is active and in good standing, you are granted a limited, non-exclusive, non-transferable, revocable license to use the Platform for your internal business purposes.

6.3. Restrictions: You may not resell, sublicense, share, or otherwise provide Platform access to any third party without our express written permission.

7. Acceptable Use and Compliance

7.1. Your Responsibility: You are solely responsible for complying with all applicable laws and regulations, including TCPA, CAN-SPAM, and carrier requirements (A2P/10DLC). You agree not to use the Platform for any unlawful, deceptive, or harassing activities.

7.2. No Legal Advice: Heavy Impact does not provide legal advice. You are responsible for your own business practices and advertising claims.

8. Disclaimers and Limitation of Liability

8.1. AS-IS Service: The Platform is provided “as is” and “as available.” We disclaim all warranties, including implied warranties of merchantability and fitness for a particular purpose.

8.2. Limitation of Liability: To the maximum extent permitted by law, Heavy Impact’s total liability under these Terms will not exceed the Subscription Fees you paid in the 30 days preceding the event giving rise to the claim. We are not liable for any indirect, incidental, or consequential damages.

9. Dispute Resolution

9.1. Governing Law: These Terms are governed by the laws of the State of California.

9.2. Binding Arbitration: Any dispute arising from these Terms will be resolved by binding arbitration administered by JAMS in Los Angeles County, California. All disputes must be brought on an individual basis, and you waive any right to a class action.

10. General Terms

10.1. Changes to Terms: We may update these Terms and will provide notice of material changes via email or within the Platform. Your continued use after the effective date constitutes acceptance.

10.2. Entire Agreement: These Terms, including Exhibit A, constitute the entire agreement between you and Heavy Impact LLC.

Exhibit A: Funnel Build Sprint Terms

This exhibit details the scope of the one-time Funnel Build Sprint included with your subscription.

A1. Included Deliverables:

•Pages: 1 primary landing/opt-in page and 1 thank-you page.

•CRM Setup: Basic contact form, CRM pipeline setup, and tagging.

•Automations: Basic lead routing notifications (email/SMS) to you.

•Integrations: Basic calendar embed or booking link integration.

A2. Client-Provided Inputs (Required to Start):

•Business name, offer details, and target market.

•Logo and brand colors (or approval for a neutral style).

•Any required legal disclaimers.

•Booking link (if applicable).

•Testimonials, photos, or other assets (if available).

A3. Timeline:

•The build commences after we receive all required inputs. While timelines can vary, our goal is to deliver within 7-14 business days from the official start date. Delays in receiving your feedback or assets will extend the project timeline.

A4. Revisions:

•The Funnel Build Sprint includes a round of revision on the initial build. A revision round is defined as a single, consolidated list of specific requested changes. New feature requests or changes that deviate from the initial scope are not considered revisions and may be billed separately.

A5. What’s Not Included:

•Custom copywriting or market research.

•Advanced CRM builds, custom code, or API integrations.

•Multi-page websites, video editing, or ad creative production.

•Legal compliance review.

A6. Ownership:

All underlying templates and frameworks remain the intellectual property of Heavy Impact. You receive a license to use the completed funnel within the Platform while your subscription is active.
